The two contracting authorities (Medizinisches Zentrum für Gesundheit Bad Lippspringe gGmbH - MZG Westfalen - and Karl-Hansen-Klinik GmbH) are part of the corporate group Medizinisches Zentrum für Gesundheit Bad Lippspringe gGmbH. The non-profit organization operates clinics and institutes in the areas of rehabilitation, acute care, nursing care, outpatient services, medical supply trade, as well as teaching and research. The shareholders are the City of Bad Lippspringe (holding 94% of shares) and the Association for the Promotion of MZG (holding 6% of shares). The execution of the procurement procedure is the responsibility of MZG, which serves as the sole point of contact for applicants/bidders on all matters relating to the procurement process. By means of the published single-partner framework agreement, the contracting authorities commission the contractor to outsource the operation of printers and multifunction devices (document processing systems) to an external service provider: the document processing systems required by the contracting authorities shall be leased and operated under a full-service agreement. Repairs, maintenance, and support services are defined in accordance with the specifications set out in the technical specification (Part B). The types of document processing systems required and the applicable requirements are specified in the technical specification (Part B), including the provisions of the price schedule (Attachment B.1) and the requirements catalog (Attachment B.2). The contractor shall provide the contracting authorities with the hardware and software on the conditions stated in the price schedule on a leasing basis for the entire duration of this framework agreement. The objective is to introduce an economical, standardized, and high-quality managed print service using current technologies. Document processing systems and configurations shall be standardized. Data protection and IT security for the document processing systems and software components must comply with the state of the art; this state of the art shall be regularly communicated to and documented for the contracting authorities, even if no changes occur. The contractor bears responsibility for bringing the overall system into an operational condition and ensuring its continued operation throughout the entire term of this framework agreement (48 months). Extension of the contract is not envisaged. Based on the framework agreement, the contracting authorities may place individual orders during its term for the leasing of document processing systems together with the respective associated service services (hereinafter referred to as "individual orders"). The contracting authorities are entitled to terminate each individual order, including the associated service services, for the first time upon expiry of 24 months from the service start date determined in the respective individual order. Termination must be given in written form with a notice period of three (3) months ending on the last day of a month. Termination of an individual order terminates only that specific individual order, including the associated service services. The validity of the framework agreement and other individual orders remain unaffected. Equipping the individual sites with the contractually agreed printing and multifunction systems shall take place within the framework of a coordinated rollout process. The rollout process begins immediately after award of the contract.
